Client Service Agreement

This agreement governs all services provided by CursorDrive to its clients. Please read carefully before making any payment.

Legally Binding Agreement

By making any payment to CursorDrive, you enter into a legally binding contract and accept all terms outlined in this Agreement.

Section 01

Scope of Services

The Company agrees to provide services including but not limited to:

  • Software development
  • Website development
  • Automation systems
  • AI-based solutions
  • Templates & digital systems
📄 The exact scope, deliverables, and timelines shall be defined in written communication, proposal, or invoice.
Section 02

Payment Terms

  • Advance payment is mandatory before project initiation
  • Remaining payments shall follow agreed milestones
  • All payments are non-refundable (as per Refund Policy)

Failure to make timely payments may result in:

  • Immediate suspension of work
  • Delay in delivery
  • Termination of agreement
Section 03

Project Timeline

  • Timelines are estimates, not guarantees
  • Delays caused by the Client (feedback, approvals, content) will extend timelines accordingly
  • The Company is not liable for delays due to third-party services or external factors
Section 04

Client Responsibilities

The Client agrees to:

  • Provide clear and accurate project requirements
  • Respond within reasonable timeframes
  • Provide necessary materials (content, access, credentials)

Failure to cooperate may result in:

  • Project delays chargeable to the client
  • Additional charges for extended engagement
  • Project termination without refund
Section 05 Very Important

Scope Limitation

Any work outside the agreed scope will be treated as:

  • A new request independent of the original agreement
  • Subject to additional cost and timeline
⚠️ The Company is not obligated to perform any extra work without explicit written approval from the Client.
Section 06

Intellectual Property

  • All work remains the property of CursorDrive until full payment is completed
  • Upon full payment, ownership of final deliverables may be transferred to the Client (excluding internal tools and frameworks)
🔒 The Company retains rights to reuse frameworks, code structures, and non-confidential components in future projects.
Section 07 No Refund

No Refund Policy

All payments made are governed by the CursorDrive Refund Policy:

  • Strictly non-refundable under all circumstances
  • No exceptions for project cancellation, delay, or dissatisfaction

Section 08

Revision Policy

  • Revisions are limited to the agreed scope
  • Excessive or repeated changes beyond scope may incur additional charges
Section 09

Termination

The Company may terminate this Agreement if:

  • The Client violates any terms of this Agreement
  • Payments are delayed beyond agreed terms
  • Misuse or unethical requests are made

Upon termination:

  • All work will stop immediately
  • No refunds will be issued for payments made
Section 10

Limitation of Liability

The Company shall not be liable for:

  • Loss of business or revenue
  • Data loss or corruption
  • Indirect or consequential damages of any kind
⚖️ Maximum liability is limited to the amount paid for the specific service in question.
Section 11

Confidentiality

Both parties agree to:

  • Keep all confidential information strictly private
  • Not disclose business strategies or project details to third parties
Section 12

Third-Party Services

The Company may use third-party tools and services to deliver projects. We are not responsible for:

  • Downtime or outages on third-party platforms
  • Policy changes by third-party providers
  • Data issues originating from third-party platforms
Section 13

Force Majeure

The Company is not liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Government restrictions
  • Technical failures
  • Internet outages
Section 14 Legal

Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Section 15 Legal

Jurisdiction

All disputes shall be subject to the exclusive jurisdiction of courts located in Chennai, Tamil Nadu, India.

Section 16 Legal

Dispute Resolution

In case of disputes, the following process shall apply:

  1. Parties shall first attempt mutual amicable discussion in good faith
  2. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996
  3. Arbitration shall take place in Chennai, Tamil Nadu, India
Section 17 Binding

Acceptance

By making any payment to CursorDrive, the Client confirms:

The following are acknowledged and agreed upon payment:

Full agreement to this Client Service Agreement and all its terms
Acceptance of all payment, refund, and cancellation conditions
Entry into a legally binding contract with CursorDrive
